1. Introduction

Welcome to NJAT Trading Education. These Terms and Conditions govern your use of our website, educational content, mentorship programs, software tools, community platforms, live sessions, alerts, and related services (collectively, the "Services"). The Services are operated by Sphere of Influence FZ-LLC, also operating as SOI ("NJAT," "NJAT Trading Education," "SOI," "we," "us," or "our"), in Dubai, United Arab Emirates. By accessing or using our Services, you agree to be bound by these Terms.

2. Eligibility & Account Responsibility

By using our Services, you confirm that you are at least 18 years old and legally capable of entering into a binding contract. You are responsible for maintaining the confidentiality of your account credentials, for all activity that occurs under your account, and for ensuring that the information you provide to us is accurate and up to date.

3. Educational Nature of Service

NJAT is an educational trading platform only. Nothing provided through our Services constitutes financial advice, investment advice, trading advice, brokerage services, portfolio management, or a solicitation to buy or sell any financial instrument. All materials, examples, commentary, strategies, software tools, and discussions are provided for educational and informational purposes only.

4. Risk Disclosure

IMPORTANT: HIGH-RISK WARNING

Trading foreign exchange ("Forex"), cryptocurrencies, and other financial instruments carries a high level of risk and may not be suitable for all individuals. The high degree of leverage can work against you as well as for you. Before deciding to trade, you should carefully consider your investment objectives, level of experience, and risk appetite. The possibility exists that you could sustain a loss of some or all of your initial investment and therefore you should not risk money that you cannot afford to lose. Past performance is not indicative of future results. You remain solely responsible for any trading or investment decisions you make.

5. Live Trade Notifications & Market Commentary Disclaimer

Our Services may include educational live trade notifications, alerts, market commentary, charts, and analysis. By purchasing or accessing these Services, you acknowledge and agree that:

Educational Observation Only: Our alerts, market commentary, and live trade notifications are provided for educational observation only.
Not Copy-Trading Instructions: They are not instructions to copy trades, enter positions, exit positions, allocate capital, or use any particular risk level.
No Advisory Relationship: We are not your financial advisor, investment advisor, broker, or fiduciary, and no advisory or professional relationship is created through your use of the Services.
Your Responsibility: You remain solely responsible for deciding whether to trade, how much to risk, and whether any trade idea or educational material is suitable for you.
No Guarantees: We make no guarantees of profitability, performance, trade outcomes, or successful execution.
Notification Delays: We do not guarantee real-time delivery of alerts or notifications. Delays or failures may occur due to technical issues, market conditions, outages, third-party platform limitations, or other circumstances beyond our control.
Jurisdictional Compliance: You are responsible for ensuring that your use of our Services complies with all laws and regulations that apply to you.

6. No Guarantee Clause

While our programs, tools, and mentorship are designed to support your trading education, NJAT makes no guarantee regarding financial results, trading performance, account growth, prop firm success, or profits. Individual outcomes depend on many factors outside our control, including your experience, discipline, execution, and risk management.

7. 7-Day Free Trial

Some NJAT subscriptions may begin with a 7-day free trial. Where a free trial is offered, the trial period begins immediately when you complete checkout and create your account.

The 7-day trial ends exactly 7 calendar days after the time the trial is started at checkout. To avoid being charged, cancellation must be completed before the renewal charge is processed.

By starting a free trial, you agree that unless you cancel before the end of the trial period, your subscription will automatically convert into a paid recurring subscription at the price shown at checkout. Your selected payment method will be charged automatically at the end of the trial period and on each recurring billing date thereafter unless you cancel in accordance with these Terms.

It is your responsibility to cancel your subscription before the trial ends if you do not wish to be charged. Failure to use the Services during the trial period does not cancel your subscription and does not prevent the automatic renewal charge.

8. Membership & Subscriptions

Recurring Billing: Membership fees are billed on a recurring basis. The billing amount and billing interval will be shown at checkout.
Payment Authorisation: By providing a payment method, you authorise NJAT, Sphere of Influence FZ-LLC, and our payment processors, including Stripe or PayPal where available, to charge the payment method for all applicable subscription fees and renewals.
Cancellation Timing: You may cancel your subscription at any time through your NJAT account dashboard under the "Manage Subscription" section. To avoid being charged after a free trial or for a future billing period, cancellation must be completed before the trial ends or before the next scheduled billing date.
Valid Cancellation Method: Cancellation requests made by email, social media, WhatsApp, direct message, verbal request, or any other method will not be considered valid unless we expressly confirm in writing that the subscription has been cancelled.
After Renewal: If you cancel after a renewal payment has already been processed, the cancellation will take effect at the end of the current billing period and you will retain access until that date. No refund or credit will be issued for the current billing period.
Price Changes: We may update pricing from time to time. Any approved price changes will apply only to future billing cycles and will be communicated where required.

9. Payment Attempts & Failed Payments

If a payment fails, our payment processor may automatically retry the payment method on file. You authorise us and our payment processors to attempt collection of any valid subscription fees, including after failed payment attempts, using the payment method associated with your account.

You are responsible for keeping your payment details up to date.

10. Refund Policy

Our Services consist of digital educational content, software access, community access, live sessions, market commentary, alerts, and mentorship services. Access may be granted immediately after checkout or account creation.

Because the Services are digital and access is provided immediately, all payments are final unless otherwise required by applicable law. Lack of usage, failure to attend sessions, failure to view content, failure to access community features, or failure to cancel before renewal does not entitle you to a refund.

Missed sessions, non-attendance, inactivity, failure to log in, or failure to make use of any part of the Services does not create a refund right or credit entitlement.

11. Payment Processing Disclaimer

Payments are securely handled by third-party providers such as Stripe or PayPal where available. NJAT does not store or have access to your full payment card details.

12. Disputes and Chargebacks

If you believe a charge has been made in error, you agree to contact us first at admin@notjustatrade.com so we can review and attempt to resolve the issue.

You agree to contact us first if you believe a charge is incorrect. Filing a chargeback or payment dispute for a properly authorised charge that was clearly disclosed at checkout and billed in accordance with these Terms may be treated as a breach of these Terms.

Where a chargeback, dispute, or fraud claim is submitted, you acknowledge that we may provide evidence to our payment processor, card network, bank, PayPal, Stripe, or dispute resolution provider. This evidence may include, but is not limited to, account creation records, checkout records, accepted terms, subscription records, invoice records, payment records, cancellation records, login history, platform activity, IP address, device or browser information, email records, support communications, TradingView access records, and other evidence showing that the Services were purchased, delivered, accessed, or made available.

Our collection and use of personal data is described in our Privacy Policy, including how we may use account, payment, access, device, and communication records for security, fraud prevention, customer support, and dispute resolution.

13. Intellectual Property Rights

All content included in our Services, including videos, written materials, graphics, software tools, logos, strategies, trade examples, course materials, and community content, is the property of NJAT and protected by applicable copyright and intellectual property laws. You are granted a limited, non-exclusive, non-transferable licence to access and use the content for your own personal, non-commercial educational use only.

You may not record, download, copy, share, resell, distribute, screen-record, reproduce, publish, transmit, modify, or create derivative works from any part of the Services. Sharing login credentials or allowing another person to access your account is strictly prohibited. Any breach may result in suspension or termination of your account without refund and may also lead to legal action.

14. User Conduct and Community Guidelines

As a member of the NJAT community, you agree to act professionally and respectfully. You are prohibited from:

Sharing your account credentials with others.
Posting spam, unsolicited promotions, or affiliate links.
Engaging in harassment, hate speech, threats, or abusive behaviour.
Distributing copyrighted material or infringing intellectual property rights.
Using the Services in any unlawful, misleading, or harmful way.

Violations may result in a warning, suspension, or permanent termination of your account without refund.

15. Limitation of Liability and Indemnification

To the fullest extent permitted by law, NJAT, SOI, and Sphere of Influence FZ-LLC shall not be liable for any direct, indirect, incidental, consequential, special, or exemplary damages, including financial losses, trading losses, loss of profits, or loss of opportunity arising from or related to your use of, reliance on, or inability to use the Services. You agree to indemnify and hold harmless NJAT, SOI, Sphere of Influence FZ-LLC, and their officers, directors, contractors, employees, and representatives from any claim, demand, liability, damage, cost, or expense, including reasonable legal fees, arising out of your breach of these Terms or your misuse of the Services.

16. Force Majeure

NJAT shall not be liable for any failure or delay in performing its obligations under these Terms where such failure or delay results from events beyond its reasonable control, including acts of God, natural disasters, war, terrorism, civil unrest, government action, power failure, internet outage, platform outage, third-party service interruption, or technical failure. Such events do not create a right to refund, damages, or compensation.

17. Termination of Access

We reserve the right to suspend or terminate your access to the Services at any time, with or without notice, if we reasonably believe you have breached these Terms, misused the Services, engaged in fraud, shared access, or acted in a way that is harmful to the community or our business. Termination does not entitle you to any refund.

18. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the United Arab Emirates, as applicable in the Emirate of Dubai. Any dispute arising out of or in connection with these Terms or the Services shall be subject to the exclusive jurisdiction of the courts of Dubai, United Arab Emirates.

19. Modifications to Terms

We may amend these Terms from time to time. Updated Terms will be posted on our website, and your continued use of the Services after any update takes effect constitutes your acceptance of the revised Terms.

20. Severability

If any provision of these Terms is found to be invalid, unlawful, or unenforceable, the remaining provisions shall remain in full force and effect.

21. Entire Agreement

These Terms constitute the entire agreement between you and NJAT, SOI, and Sphere of Influence FZ-LLC in relation to the Services and supersede any prior discussions, understandings, or agreements relating to the same subject matter.
